Appleby Advises Credit Suisse On Issuance

Law firm Appleby acted as both Bermuda and BVI counsel to Credit Suisse AG, Singapore Branch [Credit Suisse] in connection with a two tranche [US$50 million and further US$70 million] convertible bond issuance by Bermuda incorporated Hong Kong listed Goldpoly New Energy Holdings Limited [Goldpoly]. Credit Suisse acted as arranger and one of the purchasers of the bonds.

The bonds were guaranteed and secured by various Hong Kong and BVI subsidiaries of Goldpoly. Appleby provided Bermuda and BVI advice to Credit Suisse in relation to the bond issuance and the granting of security by the BVI subsidiaries of Goldpoly.

The Appleby team consisted of partner, Jeffrey Kirk and senior associate, Rupen Shah. Two separate teams at Allen & Overy Hong Kong acted as onshore counsel to Credit Suisse and to the security trustee, The Bank of New York Mellon, in relation to the transaction.
